These Terms and Conditions (“Terms”) govern your access to and use of our mobile application, website, and all related services (collectively, the “Service”), operated by Snapeats Group Limited, a Social Interactive Dining App established under the laws of Hong Kong with its principal office at RM 115, 1/F, TSING SHAN SQ 2, ONE TERMINAL, TUEN MUN, HONG KONG (“we,” “us,” “our,” or “Snapeats Group Limited”). The Service blends the joy of connecting with friends and sharing experiences—similar to a social network—with the excitement of discovering restaurants, posting reviews, booking dining experiences, and engaging with a community passionate about food and friendship.

By accessing, downloading, registering for, or using the Service in any manner—whether as a casual visitor or a registered user—you enter into a legally binding agreement with Snapeats Group Limited under these Terms. If any provision of these Terms does not align with your expectations or preferences, we ask that you refrain from using the Service. We strongly recommend reading these Terms carefully and contacting us with any questions or concerns before you begin using the Service.


1. Acceptance and Governance

1.1 Effective Date and Application

These Terms take effect on November 29, 2025, for all new users who access, download, or register with the Service on or after this date. Your engagement with the Service—whether browsing restaurant listings, posting content, messaging friends, or booking a table—constitutes your full acceptance of these Terms as they exist at the time of your use. This applies regardless of whether you are a guest or a registered user, and whether you access the Service via mobile app, website, or any other means.

1.2 Updates to These Terms

We may modify these Terms periodically to reflect enhancements to the Service, changes in applicable laws or regulations, feedback from our community, or adjustments to our operational practices. The most current and authoritative version of these Terms will always be posted at our website for your convenience and reference. It is your responsibility to review these Terms regularly to stay informed of any updates, as your continued use of the Service after changes take effect signifies your agreement to be bound by the revised Terms.

For updates that materially impact your rights, obligations, or how you interact with the Service—such as changes to content ownership, payment terms, or dispute resolution processes—we’ll provide you with reasonable advance notice. This notice may be delivered through methods such as an email to the address associated with your account, a prominent in-app notification, or another reasonable communication channel. The “Last Updated” date at the top of this page will be revised to reflect the effective date of the most recent changes. If you find the updated Terms unacceptable, you may discontinue using the Service by following the termination process outlined in Section 7. Otherwise, your ongoing use confirms your consent to the new Terms.

1.3 Incorporated Policies and Guidelines

These Terms are supplemented by our Privacy Policy, which outlines how we collect, use, store, and protect your personal information, and our Community Guidelines, which establish the standards of conduct and content we expect from all users. Additionally, if you participate in meetups or events organized through the Service, our Meetup Guidelines may apply. These documents are incorporated into these Terms by reference and collectively form the complete legal agreement between you and Snapeats Group Limited regarding your use of the Service. We encourage you to familiarize yourself with these policies, as they provide essential details about your rights and responsibilities.

1.4 Scope of the Service

The Service combines social networking with restaurant discovery, allowing you to connect with others, share photos, videos, and reviews, explore dining options, book reservations, and plan meetups. While we strive to offer a seamless and enjoyable experience, your use of these features is governed by these Terms, and we reserve the right to adjust or limit functionality as needed to maintain the Service’s integrity and usability.


2. Using the Service

2.1 Eligibility to Participate

To use the Service, you must meet the following criteria:

  • Have the legal capacity to enter into a binding agreement with Snapeats Group Limited, either as an individual or on behalf of an entity;
  • Be at least 18 years old to access or use this App, or the minimum age of majority in your jurisdiction (whichever is higher).We reserve the right to suspend or terminate any Account that is, or that we reasonably believe to be, operated by a user under the minimum age requirement;
  • Not be employed by or affiliated with a competitor of Snapeats Group Limited with the intent to disrupt, interfere with, or replicate our Service;
  • Not have been previously suspended, banned, or otherwise restricted from using the Service due to violations of these Terms or other policies; and
  • Reside in a geographic area where the Service is available, noting that we may restrict access in certain regions or countries at our sole discretion based on operational, legal, or technical considerations.

If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to legally bind that entity to these Terms, and “you” refers collectively to both you as an individual and the entity you represent.

2.2 Your Responsibilities as a User

You are responsible for how you use the Service, including:

  • Maintaining the security and confidentiality of your account credentials, such as your username and password, and not sharing them with others;
  • All activities, content, and interactions that occur under your account, whether initiated by you or resulting from unauthorized access due to your failure to secure your credentials;
  • Promptly notifying us at contact@snapeats.io if you suspect or detect any unauthorized use of your account or a security breach;
  • Complying with all applicable local, national, and international laws, regulations, and ordinances while using the Service; and
  • Ensuring that your use of the Service does not infringe on the rights of others, disrupt the platform, or violate these Terms or our Community Guidelines.

You may not allow others to use your account, transfer it to another person or entity, or impersonate anyone else without our prior written permission. You are also prohibited from using the Service in any way that could harm its functionality, security, or the experience of other users.

2.3 Account Creation and Management

To access advanced features—such as posting reviews, rating restaurants, messaging friends, sharing media, or booking reservations—you must create an account by providing accurate, complete, and current information, including but not limited to your name, email address, and preferences for dining or social connections. We may request additional verification to confirm your identity or eligibility at our discretion. Your account is intended for your personal, non-commercial use only, unless you have a designated Business Account (see Section 5.4). You may not create multiple accounts, use false or misleading information, or register on behalf of someone else without their explicit consent.

2.4 Our Rights to Manage the Service

We reserve the right to:

  • Refuse service to anyone for any reason at any time, including denying account creation or access;
  • Suspend, restrict, or terminate your account or access to the Service, with or without notice, if we believe you’ve violated these Terms, engaged in harmful behavior, or posed a risk to the Service or its users;
  • Remove, disable, or restrict access to any content or features that we determine, in our sole discretion, violate our policies or applicable laws; and
  • Modify, suspend, or discontinue the Service—or any part of it—without prior notice or liability, whether for technical upgrades, legal compliance, user safety, or operational efficiency.

These rights help us maintain a safe, functional, and enjoyable platform for everyone, though we’re not obligated to exercise them in every instance.

2.5 Service Availability and Limitations

We aim to provide a reliable and enjoyable Service, but we do not guarantee that it will always be available, secure, error-free, or free from interruptions. The Service may experience downtime due to scheduled maintenance, unexpected technical issues, or external factors beyond our control. We may also change, enhance, limit, or discontinue features—such as restaurant booking tools, messaging functions, or content-sharing options—at any time to improve the platform or address operational needs. Such changes may affect how you use the Service, and we are not liable for any inconvenience or loss resulting from these adjustments.

2.6 Communications and Notifications

By using the Service, you agree to receive communications from us and other users through channels like email, in-app messages, push notifications, text messages (SMS/MMS), or phone calls. These may include:

  • Account-related notices (e.g., login alerts, password resets, Terms updates);
  • Social interactions (e.g., friend requests, messages, meetup invites);
  • Personalized recommendations (e.g., restaurant suggestions based on your activity);
  • Promotional offers about the Service or dining partners.

Some communications may be automated, and you acknowledge that standard carrier rates may apply for texts or calls. You’re responsible for keeping your contact information up to date by notifying us at [insert contact email] of any changes (e.g., new email or phone number). You can adjust settings for non-essential messages (like promotions) in your account, but critical notices (like security alerts) cannot be turned off. We may monitor or record interactions—like support calls—for quality assurance, training, or legal purposes, where allowed by law.

2.7 Third-Party Interactions

The Service may connect you to third parties, like restaurants or other users. We’re not responsible for their actions, content, or services, even if accessed through our platform. Your dealings with them—including meetups or bookings—are at your own risk.


3. Content

3.1 Responsibility for Your Content

You are fully responsible for Your Content—any text, photos, videos, audio, reviews, ratings, messages, or other materials you upload, post, or share on the Service. Once shared, Your Content may not always be removable, and you accept all risks tied to it, including:

  • Others relying on its accuracy, quality, or completeness;
  • Exposure of personal information you choose to reveal;
  • Legal or social consequences from what you post.

You confirm that:

  • You own Your Content or have the legal right or permission to use and share it as described here;
  • It doesn’t suggest we endorse it unless we’ve explicitly agreed in writing; and
  • It complies with these Terms, our Community Guidelines, and all applicable laws.

You may be liable if Your Content:

  • Is false, misleading, or defamatory;
  • Violates someone’s rights (e.g., copyright, trademark, privacy);
  • Contains illegal, hateful, explicit, or harmful material;
  • Exploits or endangers minors; or
  • Breaks our rules or laws.

3.2 Our License to Use Your Content

When you post Your Content, you grant Snapeats Group Limited a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, store, display, reproduce, modify (e.g., resizing photos), distribute, perform, and create derivative works from it to operate, enhance, and promote the Service. This includes:

  • Showing your restaurant review or photo to other users;
  • Featuring your profile in friend suggestions or social feeds;
  • Using it in ads or partnerships to promote dining or the Service;
  • Sharing it with third parties (e.g., restaurant partners) to improve functionality.

Other users can also see, like, comment on, or share Your Content within the Service—like messaging you about a review or inviting you to a meetup. This license continues as long as Your Content is protected by intellectual property rights, and you can’t revoke it unless you delete your account (see Section 7), though some copies may remain in backups or with users who’ve interacted with it.

3.3 Ownership and Rights

You retain ownership of Your Content, subject to the license above. We own the Service’s content—its design, software, branding, layouts, tools, and aggregated data (e.g., average restaurant ratings)—protected by copyright, trademark, trade secret, and other laws worldwide. You can’t copy, modify, sell, or use our content without our written permission, except as these Terms allow. We don’t claim ownership of Your Content, but our license lets us use it to keep the Service running and growing.

3.4 Content Guidelines

Your Content must not:

  • Include nudity, explicit imagery, or graphic violence;
  • Promote hate, harassment, bullying, or discrimination based on race, religion, gender, or other traits;
  • Contain false or misleading info (e.g., fake reviews, scams);
  • Be spam, unsolicited ads, or irrelevant links;
  • Violate laws or encourage illegal acts (e.g., drug sales, threats);
  • Harm minors or exploit them in any way;
  • Break our Community Guidelines.

We don’t pre-screen everything, but we can remove or restrict Your Content if it violates these rules, risks user safety, or affects the Service’s integrity, at our discretion—though we’re not required to catch every issue.

3.5 Advertising and Promotion

We may place ads, sponsored posts, or promotions near or within Your Content to fund and improve the Service. You don’t get paid for this, and we can adjust ad styles, locations, or frequency without telling you. This helps keep the Service accessible to everyone.

3.6 Third-Party and User Content

The Service includes content from others—like restaurant info or user posts. We don’t control or endorse it and aren’t responsible for its accuracy, legality, or impact. If you see problematic content, report it to contact@snapeats.io , and we’ll review it based on our policies.

3.7 Content Removal and Retention

You can delete Your Content via your account settings, but copies might linger in backups, shared posts, or third-party systems we don’t control. We’re not obligated to store, return, or keep Your Content private after you post it, unless law requires otherwise.


4. Booking and Transacting

4.1 Overview of Features

The Service lets you book restaurant reservations, order food, or plan dining meetups with friends, often through third-party partners like reservation platforms or delivery services. These features blend social connection with dining convenience. When you use them, extra terms from those partners may apply—shown during booking or ordering—and the restaurant or partner, not us, fulfills the transaction.

4.2 Booking Process

To book or order, you’ll enter details (e.g., time, party size) and may link payment info (e.g., credit card). You agree to follow the restaurant’s policies—like showing up on time—and understand we’re just the middleman connecting you to them.

4.3 Payments and Cancellations

You’ll pay any fees tied to bookings or orders, including:

  • Reservation costs or order totals;
  • Cancellation or no-show fees, per the restaurant’s rules (shown when you book).

We might process payments for the restaurant or partner, but we’re not liable for mistakes, delays, or bad service. Disputes—like wrong orders or refund requests—go to the restaurant or partner, not us. Check their terms before you commit.

4.4 Coupons and Rewards

We may give you coupons, discounts, or credits (“Coupons”) for stuff like posting reviews, inviting friends, or booking through us. These are:

  • Non-transferable unless we or the law say otherwise;
  • Not cash or tradeable outside the Service;
  • Valid for a period we set when we issue them (we’ll tell you then);
  • Useless if your account closes or we stop the program, unless law says we must honor them;
  • Changeable or cancellable by us anytime, following legal rules.

Coupons are a bonus, not a guarantee. Misusing them—like trying to sell them—can get them voided or your account suspended.

4.5 Risks and Limits

Booking or ordering involves risks—like a restaurant canceling or food not meeting expectations. We don’t control their service and aren’t responsible for disappointments or losses. Use these features knowing that.


5. Representations and Warranties

5.1 Your Commitments

You promise:

  • You’ve read and will stick to our Community Guidelines;
  • You’ve checked our Privacy Policy and agree to our data use;
  • You’ll use the Service legally and respectfully.

5.2 What You Won’t Do

You won’t:

  • Post fake stuff—like made-up reviews—or pay/get paid for reviews;
  • Steal or misuse rights (e.g., copyright, privacy);
  • Bully, harass, threaten, or hate on people;
  • Push unapproved business deals (you’d need a Business Account—ask us);
  • Spam, scam, or flood the Service with junk;
  • Share illegal or harmful content, especially about kids;
  • Break any laws;
  • Copy or mess with our Service (except Your Content);
  • Use bots, scrape data, or hack us (tell us at contact@snapeats.io  if law says you must);
  • Overload our systems or plant viruses;
  • Break how the Service works or its security.

5.3 Our Enforcement

We don’t have to chase every rule-breaker for you. If you spot trouble—like bad posts or behavior—email contact@snapeats.io . We’ll look into it our way, but we’re not liable for others’ actions.

5.4 Business Use

Want to promote a restaurant or business? You need a Business Account with special terms—contact us at contact@snapeats.io . Regular accounts are for personal fun only.


6. Safety and Community

6.1 Our Safety Efforts

We try to keep the Service safe but can’t catch everything. You help by posting smartly—nothing risky, illegal, or mean. We might step in if needed, but no guarantees.

6.2 Your Role

Report problems—like creepy users or bad content—to contact@snapeats.io . We’ll check it out, but you’re on the hook for your own choices, like meeting people offline.

6.3 Meetups

Planning dining meetups? Follow our Meetup Guidelines (available at [insert link]). We’re not responsible for what happens when you meet up—be safe and smart.


7. Termination

7.1 Ending Your Use

Quit anytime by deleting your account in settings or emailing contact@snapeats.io . Your Content might stick around in backups or shares—check our Privacy Policy.

7.2 Our Right to End It

We can pause or kill your account if you break these Terms, mess with the Service, or for any reason, with or without telling you first.

7.3 After Termination

Your license ends when your account does. Sections 3.2, 3.3, 7, 8, 9, and 10 still apply afterward.


8. Disclaimers

The Service comes “as is.” We don’t promise it’s flawless, safe, or always up. We skip liability for:

  • Other people’s posts or actions;
  • Third-party stuff—like restaurant bookings;
  • Bugs, crashes, or downtime.

No warranties—like merchantability or fitness—unless law forces us to offer them.


9. Liability Limits

Limitation of Liability

To the maximum extent permitted by applicable law, Snapeats Group Limited and its affiliates, employees, agents, and partners are not liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of use, or other financial loss, arising from:

  • Your use or inability to use our services,
  • Any third-party actions or interactions with the services,
  • Any errors, inaccuracies, interruptions, or delays in the service,
  • Any bugs, viruses, or other technical issues that may affect your device or system.

This limitation applies regardless of the form of action, whether in contract, tort (including negligence), or otherwise, even if we have been advised of the possibility of such damages.

In jurisdictions that do not allow the exclusion or limitation of certain damages, the liability of Snapeats Group Limited will be limited to the maximum extent permitted by law.


10. Disputes

10.1 How We Will Handle Disputes for Consumers

If you are a consumer (i.e., an individual using the Service for personal, non-commercial purposes), the laws of the country in which you reside will apply to any claim, cause of action, or dispute you have against us that arises out of or relates to these Terms or the Service (“Claim”). You may resolve your Claim in any competent court in that country that has jurisdiction over the Claim, ensuring you retain access to local legal protections as a consumer. This provision does not limit our rights under Section 10.3 to pursue Claims against you in other jurisdictions as necessary to protect Snapeats Group Limited.

10.2 Exclusive Jurisdiction for Non-Consumers

In all other cases—including if you are using the Service on behalf of a business, organization, or for commercial purposes—you agree that any Claim must be resolved exclusively in Hong Kong. You irrevocably submit to the personal jurisdiction of these courts for the purpose of litigating any such Claim, and you agree that the laws of Hong Kong will govern these Terms and any Claim, without regard to conflict of law provisions. This exclusive jurisdiction ensures Snapeats Group Limited can efficiently enforce our rights and protect our interests in a consistent legal environment familiar to us, minimizing exposure to unpredictable or unfavorable foreign jurisdictions.

10.3 Our Right to Pursue Claims Against You

Without prejudice to the foregoing, you acknowledge and agree that Snapeats Group Limited may, at our sole discretion, bring any Claim we have against you—particularly those related to efforts to abuse, interfere with, manipulate, or engage with the Service in unauthorized ways—in the country where you reside, provided that country’s courts have jurisdiction over the Claim. Examples of such unauthorized behavior include, but are not limited to:

  • Hacking, phishing, or attempting to gain unauthorized access to the Service or user accounts;
  • Scraping data, manipulating restaurant ratings, or posting fraudulent reviews;
  • Misusing booking features, such as repeated cancellations or fraudulent transactions;
  • Violating our intellectual property rights or engaging in activities that harm the Service’s integrity or reputation.

We may pursue such Claims in your local courts or the courts specified in Section 10.2, whichever we deem most effective for protecting Snapeats Group Limited. This flexibility allows us to swiftly address threats to our platform, recover damages, seek injunctive relief, or enforce these Terms, ensuring robust protection of our business interests globally.

10.4 Class Action and Collective Proceeding Waiver

To the maximum extent permitted by applicable law, you and Snapeats Group Limited agree that any Claim will be resolved solely on an individual basis. You waive any right to bring, participate in, or be represented in a class action, collective action, consolidated action, or representative proceeding related to these Terms or the Service, whether in court or otherwise. This waiver protects Snapeats Group Limited from the significant financial and operational risks posed by class litigation, ensuring disputes remain manageable and cost-effective for us to address.

10.5 Limitation on Claims

You agree that any Claim you may have against Snapeats Group Limited must be initiated within one 1 year from the date the Claim arises, or it will be permanently barred. This limitation period reduces our exposure to prolonged or stale legal challenges, providing Snapeats Group Limited with certainty and protection against delayed litigation that could complicate evidence preservation or business planning.

10.6 Costs, Fees, and Recovery

Each party will initially bear its own costs, including legal fees, in resolving any Claim, unless otherwise determined by a court based on applicable law or the merits of the case. However, if Snapeats Group Limited prevails in a Claim against you—particularly one involving intentional misuse, fraud, or bad faith—you agree to reimburse us for all reasonable attorney’s fees, court costs, and related expenses incurred in defending our rights or enforcing these Terms. This provision incentivizes compliance and ensures we can recover losses from actions that harm our Service, enhancing our financial and legal protection.


11. Miscellaneous

11.1 Entire Agreement

These Terms, Privacy Policy, and Community Guidelines are the whole deal, wiping out older agreements about the Service.

11.2 Severability

If a rule here doesn’t hold up legally, we’ll fix it just enough, and the rest stays solid.

11.3 No Waiver

Not enforcing something doesn’t mean we waive it—only written waivers count.

11.4 Assignment

You need our written okay to hand off your rights here. We can pass ours to a related company or buyer anytime.

11.5 Force Majeure

We’re off the hook if big stuff—like storms or wars—stops us from running the Service.

11.6 Language

Translations are just for help—the English version rules if they clash.
